Terms of Service

The agreement

The Service is provided under the noli brand by Reachub Ltd. (Рийчхъб ООД), UIC 206096116, VAT BG206096116, registered office at 38 Bacho Kiro St., 1202 Sofia, Bulgaria.

The agreement between you ("Customer") and Reachub Ltd. ("noli") consists of: (a) these Terms of Service, (b) our Privacy Policy, (c) our Data Processing Agreement, and (d) the order details (plan, billing cadence) you accept when you start a subscription. Together they form the "Agreement". Where there's a conflict, the order details prevail, then these Terms, then the DPA, then the Privacy Policy.

Account & access

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old and authorised to bind your organisation.

We may suspend or limit access if we reasonably believe your use threatens the security or integrity of the Service, or violates these Terms.

Subscription & billing

• Subscriptions are billed monthly or annually in advance. Prices are listed on our pricing page and are exclusive of VAT
• Card payments are invoiced by Reachub Ltd.; your invoices are available in your dashboard. If you pay through Shopify, Shopify bills you on your Shopify invoice
• Annual plans are paid up front and renew automatically unless you cancel at least 14 days before renewal
• You can cancel a monthly subscription at any time from the dashboard; access continues until the end of the current billing period
• We do not refund partial periods, except where required by EU consumer law
• Late payments accrue interest at the statutory rate; we may suspend the Service after 14 days of non-payment with notice

Acceptable use

You agree not to:

• Use the Service to send unsolicited bulk messages or spam
• Attempt to break, reverse-engineer, or probe security boundaries
• Resell or sublicense the Service without our written permission
• Use the Service in violation of applicable law (including data protection, consumer, and anti-money-laundering law)
• Upload content that infringes third-party rights or is unlawful

Customer data ownership

You retain all rights to data you upload or that is collected through the Service on your behalf ("Customer Data"). You grant noli a non-exclusive, worldwide licence to host, process and transmit Customer Data solely to provide the Service and as instructed under the DPA.

You are responsible for the lawful basis to process Customer Data and for obtaining required consents from your end-customers. Noli does not sell or share Customer Data with third parties except as needed to operate the Service (see DPA, Annex B).

Intellectual property

Noli and its licensors own all rights in the Service, including software, models, branding and documentation. Nothing in this Agreement transfers our IP to you. You may use the Service only as permitted under these Terms during the subscription term.

You may provide feedback or suggestions; we may use them without obligation, while keeping any confidential information confidential.

Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (and at least reasonable care). Obligations survive termination for three years, except for trade secrets which survive indefinitely.

Warranties & disclaimers

We will provide the Service with reasonable skill and care and substantially in line with the documentation. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties to the maximum extent permitted by law - including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free. AI agent outputs are statistical and may occasionally be incorrect; you are responsible for reviewing AI-generated content before sending it as a brand communication.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, even if advised of the possibility.

Each party's aggregate liability under this Agreement is capped at the greater of (a) the fees paid by Customer to noli in the 12 months preceding the event, or (b) €1,000.

The above limits do not apply to: payment obligations; willful misconduct; gross negligence; death or personal injury caused by negligence; or liability that cannot be excluded under EU/Bulgarian law.

Indemnity

You will defend and indemnify noli against third-party claims arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data infringing third-party rights. Noli will defend you against third-party IP claims that the Service itself infringes, subject to standard carve-outs.

Term, suspension & termination

The Agreement runs for the subscription period and renews per the order details. Either party may terminate for material breach not cured within 30 days of written notice, or immediately on insolvency of the other party.

On termination, your access ends, we delete or return Customer Data per the DPA, and any prepaid fees for unused periods are forfeited (unless required by law).

Governing law

This Agreement is governed by the laws of the Republic of Bulgaria, excluding its conflict-of-laws rules. The competent courts of Sofia, Bulgaria have exclusive jurisdiction over disputes, except that consumers may bring claims in their habitual residence under EU consumer law.
